These Terms of Service (“Terms”) govern your use of the website hexions.co (the “Site”) and the digital marketing services provided by Hexions LLC (“Hexions,” “we,” “us,” or “our”). By engaging our services or using this Site, you agree to these Terms.
1. Our Services
Hexions provides digital marketing services to businesses, including but not limited to:
- Search engine optimization (SEO), including local and programmatic SEO
- Lead generation campaigns
- Web design and development
- Paid advertising management
- Content creation and marketing strategy
The specific services, deliverables, timelines, and fees for each engagement are defined in a written proposal, statement of work, or service agreement (“Engagement Agreement”) provided to the client before work begins. In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls.
2. Quotes and Proposals
All pricing is custom-quoted based on project scope. Quotes are valid for 30 days from the date of issue unless otherwise stated. Work does not begin until the client has accepted the proposal in writing and any required initial payment has been received.
3. Payment Terms
- Fees are billed as set out in the Engagement Agreement — typically as a fixed project fee, monthly retainer, or milestone-based payments.
- Project engagements may require an upfront deposit before work begins.
- Monthly retainers are billed in advance at the start of each billing cycle.
- Invoices are due within 14 days of issue unless otherwise agreed.
- Payments are processed securely via Stripe. We accept major credit and debit cards.
- Late payments may result in suspension of work until the account is brought current.
4. Refunds and Cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.
5. Client Responsibilities
To deliver our services effectively, the client agrees to:
- Provide timely access to necessary accounts, websites, analytics, and materials
- Respond to requests for feedback and approvals within a reasonable timeframe
- Ensure that any content, materials, or instructions provided to us do not infringe third-party rights or violate applicable law
Delays caused by the client (e.g., withheld access or approvals) may extend project timelines without liability to Hexions.
6. Intellectual Property
Upon full payment of all fees due, the client owns the final deliverables created specifically for them under the Engagement Agreement. Hexions retains ownership of its pre-existing tools, templates, processes, and know-how, and grants the client a license to use them as embedded in the deliverables. Hexions may reference completed work in its portfolio and marketing materials unless the client requests otherwise in writing.
7. No Guarantee of Specific Results
Digital marketing outcomes depend on factors outside our control, including search engine algorithms, advertising platform policies, market conditions, and competitor activity. While we apply industry best practices and work diligently toward agreed goals, Hexions does not guarantee specific rankings, traffic levels, lead volumes, or revenue outcomes unless expressly stated in the Engagement Agreement.
8. Confidentiality
Each party agrees to keep the other party’s non-public business information confidential and to use it only for purposes of the engagement.
9. Limitation of Liability
To the maximum extent permitted by law, Hexions’ total liability arising out of or relating to the services shall not exceed the total fees paid by the client to Hexions in the 3 months preceding the claim. Hexions shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities.
10. Termination
Either party may terminate an engagement with 14 days’ written notice. Upon termination, the client is responsible for payment of all work completed and expenses incurred up to the effective termination date. Sections relating to payment, intellectual property, confidentiality, and limitation of liability survive termination.
11. Third-Party Platforms
Our services may involve third-party platforms (e.g., Google, Meta, hosting providers). We are not responsible for changes, outages, policy decisions, or account actions taken by third-party platforms.
12. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. The current version will always be posted on this page with the “Last updated” date. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
